Affiliate Terms

How a referral is credited, how a commission is held and paid, when it may be cancelled, and what you may not do when you promote ELMS.

About these terms

The two programmes

Under the referral programme, a person who signs up with your code or link (a “friend”) can get a discount, and you may get a reward in credits when that friend buys. Under the affiliate programme, an approved affiliate can earn a commission on plan purchases made by the people who sign up through their link (their “customers”).

This page does not list discounts, rewards, rates, holds, minimums or payout methods, because they can change. Your dashboard decides which apply to you: the Refer & Earn page in the ELMS app and, for affiliates, the Affiliate page.

How these terms fit with the others

These Affiliate Terms cover both programmes. They are part of your agreement with ELMS, together with the Terms of Service, the Refund Policy and the Privacy Policy. The referral rules apply when you share or use a code, the affiliate rules when you apply. Where these terms differ from the Terms of Service about a programme, these terms decide.

Referral programme

How a referral is credited

  • Every account can get a code and link from the Refer & Earn page.
  • A friend is credited to you only if they create a new account through your link or type your code at sign-up. A code cannot be added to an existing account, and a friend can use one referral code only.
  • You cannot use your own code or the code of an account you control.

The discount and the reward

  • A discount applies to the friend’s first plan purchases, for the number and period shown in the friend’s dashboard. The price is shown before they pay.
  • It applies only on checkouts that support it. A voucher replaces a referral discount; the two do not add up.
  • You may get a reward in credits, one time per friend, when that friend makes their first paid plan purchase. A plan given free, for example by a voucher, is not a purchase.
  • Reward credits are promotional credits: they have no cash value and are not refunded. See promotional credits in the Terms of Service.
  • We can change the offer, pause the programme or switch off a code. While the programme is paused, we may stop giving discounts and rewards.

Joining the affiliate programme

Who can apply, and how

You need an ELMS account in good standing, you must be at least 18 years old and able to enter a contract where you live, and the law must not bar us from paying you. Open the Affiliate page, choose a payout method, enter your payout details and, if you wish, say how you plan to promote ELMS.

We decide each application at our discretion and tell you by e-mail. A rejected applicant may apply again. You earn nothing before you are approved, and approval does not promise any earnings.

Your payout details

You are responsible for your payout details. A payment sent to wrong details may not be recoverable, and we are not responsible for that loss. You can change them on the Affiliate page while no payout request is waiting, and we e-mail your account address when they change. If you did not make the change, write to us at once.

Commissions, holds and payouts

What earns a commission

A customer is credited to you only if they create a new account through your affiliate link; the other crediting rules are the same as for a referral. If a new account uses both a referral code and an affiliate link, each programme applies on its own rules. Each plan a credited customer buys after you are approved can earn a commission. It is worked out on what the customer paid, after any discount. A commission is earned only on plan purchases that were paid for. Nothing is earned on other payments, on a plan given free (for example by a voucher), on a payment of no value, or on your own purchases.

From commission to payout

Your dashboard shows the state of each commission:

In hold
Recorded but not payable yet. The hold protects against refunds and chargebacks. Your dashboard shows how long it lasts.
Ready
The hold is over. You can include it in a payout request.
Payout requested
The request is waiting for us.
Paid
We sent the payout and e-mailed you the details and the payment reference.
Cancelled
No longer owed under these terms.

Requesting a payout

You can request a payout when your Ready commissions reach the minimum shown in your dashboard. A request includes all of them, and one request can wait at a time. We review each request and may reject it. Its commissions then go back to Ready unless these terms let us cancel them. We pay by the method you chose and do not promise a payout date.

We may delay or refuse a payout where the law requires it or while we check for abuse. We may ask you for the information we need to check who you are and which tax rules apply, and hold a payout until you give it.

Refunds, chargebacks and reversals

The Refund Policy says: “You can ask for a full refund within 7 days of a purchase. You do not need to give a reason. A refund is not possible if more than 5% of the credits that came with the purchase have been used.”

  • If a payment is refunded, charged back or otherwise reversed, the commission that came from it is not owed. We may cancel it, and a cancelled commission shows as Cancelled in your dashboard.
  • If that commission is already in a payout request or has been paid, we may take the amount out of your later commissions or ask you to pay it back.
  • A referral reward from a refunded or charged-back purchase may be cancelled or reversed too, as After a refund in the Refund Policy says.

Promoting ELMS

You may promote ELMS in channels that you own or run, and you are responsible for what you publish. These rules apply to affiliates and to anyone who shares a referral code.

What is not allowed

  • Spam, including unsolicited bulk messages and posts where promotion is forbidden.
  • False or misleading claims. Do not promise sales, profit, income, listing approval or any other result, and do not suggest that any marketplace or supplier approves or backs ELMS, or that you are ELMS.
  • Brand bidding: buying ads for the ELMS name or a close spelling of it, or registering a domain, account or handle that looks like ELMS.
  • Referring yourself, including through a second account or any account you control, and creating fake accounts or sign-ups.
  • Incentivised sign-ups: rewarding people for signing up or paying, for example with cash, gifts or a share of your commission.
  • Hidden or forced links, secret redirects, or replacing another person’s link.

Tell your audience that you earn

Say clearly, next to each link or code, that you may earn a commission or a reward when someone signs up or buys through it. Follow the advertising and endorsement rules of your country and of the platform where you post. If you mention eBay, Amazon or another marketplace, make clear that ELMS is an independent product (see Trademarks in the Terms of Service).

Information about the people you bring

Your dashboard shows only limited details about the people you bring. A referrer sees each friend’s partly hidden e-mail address, join date and whether they bought. An affiliate sees a partly hidden e-mail address and, for each payment, the amount paid, the commission and its state. Use this only to follow your own earnings. Do not try to identify, contact or track these people with it, and do not publish it. The Privacy Policy explains what we share with you.

Taxes and independence

You are responsible for any taxes, duties and reporting that apply to what you earn. We do not give tax advice.

You take part as an independent person, not as an employee, partner, agent or representative of ELMS. You cannot make promises or sign anything for ELMS, and you pay your own costs.

Abuse, pausing and ending

Abuse

If we find or reasonably suspect that these terms were broken, we may cancel commissions and rewards, reject payout requests, take back credits or discounts obtained by abuse, switch off a referral code, and pause or remove you from the affiliate programme. As the Terms of Service allow, we may also suspend or ban the ELMS account, and a suspension can be appealed.

Pausing and ending

While the affiliate programme is switched off or your affiliate account is paused, new payments earn no commission. A paused account also cannot request a payout. You can stop at any time by writing to us. We can pause or end either programme, or your part in it, at any time.

If your part ends and you did not break these terms, you keep the commissions you earned before the end, and we pay them once their hold is over and you ask us in writing, unless these terms let us cancel them. If we end your part because these terms were broken, or the ELMS account is ended for a breach of the Terms of Service, commissions that have not been paid may be cancelled.

When your ELMS account is deleted or ended, your part ends with it, so request any payout before then, inside the app.

Changes to these terms

We may change these terms, the offers, rates, holds, minimums and payout methods, or close either programme. A change to a rate or a hold applies to payments we record after it, and does not reduce a commission already recorded, except as these terms allow. A change to the minimum or the payout methods applies to payout requests made after it.

For a material change to these terms we give notice by e-mail to your account address or in the app before it applies, except where the law requires a change to apply sooner. If you keep taking part after a change applies, you accept it. The governing law and dispute steps in the Terms of Service apply to these terms.

Contact

Write to support@elmstool.com or open Support in the app. Name the programme and, for an affiliate, give your affiliate code. Please do not send passwords or access tokens by e-mail. For a refund request, follow the Refund Policy. The contact page lists every ELMS mailbox.
